Terms of Use

EFFECTIVE JULY 13, 2026

These Terms of Use ("Terms") govern your access to and use of the Metera platform, including all websites, APIs, dashboard interfaces, and services (collectively, the "Service") operated by Metera. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract. By using the Service, you represent that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration

To access most features, you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are solely responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

3. The Metera Marketplace

Metera operates an API marketplace connecting API providers with AI agents and developers. API Providers may list APIs subject to our Usage Policy. Consumers may access third-party APIs through the platform subject to these Terms and any terms imposed by the provider.

• Metera does not own or assume responsibility for third-party APIs listed on the marketplace.
• API Providers are solely responsible for the functionality, accuracy, and legality of their APIs.
• Metera reserves the right to remove any API listing at any time without notice.
• Listing tiers (Free, Standard, Priority, Exclusive) govern placement in results and do not guarantee traffic or revenue.

4. Payments and Billing

Metera uses x402 micropayment infrastructure to settle pay-per-call transactions between Consumers and API Providers. Payments are denominated in USDC on the Solana blockchain.

• You authorize Metera to debit your account for API calls at rates displayed at the time of use.
• All charges are final unless a documented technical error occurred on our part.
• API Providers receive payment net of Metera's platform fee, disclosed in the Developer dashboard.
• You are responsible for providing a valid Solana wallet address to receive USDC payments.
• Metera is not responsible for losses from wallet address errors, blockchain failures, or market volatility.

5. Acceptable Use

You agree not to use the Service to violate any applicable law; infringe third-party intellectual property; transmit harmful, obscene, or fraudulent content; attempt unauthorized access to any system; engage in rate abuse or denial-of-service attacks; scrape or reverse-engineer any part of the Service; or use AI agents to conduct actions that are illegal or violate any third-party terms.

6. API Keys and Credentials

API keys are personal to you and must not be shared, transferred, or embedded in public repositories. You are responsible for all usage under your API keys. If a key is compromised, rotate it immediately in the dashboard. Metera may revoke API keys at any time for violations of these Terms.

7. Intellectual Property

All content, software, and technology comprising the Metera platform is owned by Metera or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely as permitted herein. By submitting an API to the marketplace, you grant Metera a non-exclusive, worldwide, royalty-free license to display, index, and route requests to your API for operating the marketplace.

8. Third-Party Services

The Service may integrate with third-party services. Metera is not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. METERA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. USE OF THE SERVICE IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METERA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. IN NO EVENT SHALL METERA'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO METERA IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Metera from any claims, damages, and expenses arising out of your use of the Service, violation of these Terms, violation of any third-party rights, or content you submit to the marketplace.

12. Termination

Metera may suspend or terminate your access at any time, with or without cause. Upon termination, your license ends immediately. Sections 7, 9, 10, 11, and 14 survive termination.

13. Changes to These Terms

Metera may update these Terms at any time. Material changes will be posted on the website with an updated effective date. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by applicable law. Disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration. You waive any right to participate in class action proceedings.
